Version 1.1 · 15/10/2026
1Parties and object
These terms govern the license of the software service "Vouchler" (the "Service") provided by CodeMerry Srls, VAT 00000000, Via Elios Mauro 29 (the "Provider") to the customer who purchases a license (the "Customer"). The Service lets the Customer manage guest WiFi vouchers of one UniFi® Network controller. The Customer declares to be of legal age and, when acting on behalf of a business or entity, to have the authority to bind it; the data provided at purchase are accurate and up to date. The Service is part of the Provider's software platform: one Customer account (credentials, profile, billing, support) gives access to every software of the Provider for which the Customer holds a licence; each software is governed by its own licence terms, accepted by the Customer at purchase or on first use, and these terms apply to the Vouchler Service only. The common functions (account, payments, licences, support, receipts and invoices) are delivered by the platform's central seat on behalf of the Provider, with the data exchange described in §30.
2License
The Provider grants the Customer a non-exclusive, non-transferable license to use the Service for one controller (one installation) for 12 months from purchase. The license is renewable by paying the current price. The software remains the property of the Provider and is not sold: it is accessed as a hosted service. The Vouchler mark, the software, the graphics, texts and documentation of the Service are the exclusive property of the Provider: their reproduction, modification and use outside the Service are prohibited. Except as mandatory law allows, it is forbidden to: decode, disassemble or attempt to derive the source code of the Service; extract data or content in an automated way (scraping) or query the interfaces beyond their intended use; resell, sublicense or offer the Service to third parties as one's own (without prejudice to the installer and agency arrangements of §4); publish comparative measurements of the Service without the Provider's written consent. All intellectual property rights in the Service, the software, the documentation and the trademarks remain with the Provider; the licence transfers no right beyond those expressly granted.
3Price and payment
The price is the one displayed at the time of purchase for the chosen package and number of installations, payable with the payment means offered at the time of purchase (PayPal, credit or debit card, SEPA direct debit); the Service activates automatically once the payment is confirmed, which for SEPA direct debit may take a few business days. The price list may change over time and by package: the price of the period already purchased does not change. Discounts, coupons and promotions apply only to new orders within the period in which they are offered: those who purchased earlier, at full or different price, acquire no right to retroactive discounts, refunds or adjustments. The renewal price is the one in force communicated before renewal. VAT and other applicable taxes are shown in the summary displayed before payment, which is authoritative together with the receipt; prices are expressed in the currency shown there and any fees charged by the payment method or by the Customer's bank remain at the Customer's expense. The Provider may refuse or cancel an order, refunding in full any amount paid, in case of suspected fraud, use of unauthorised payment means, breach of these terms or manifest pricing error (for example an amount clearly inconsistent with the price list): in that case no contract is deemed concluded and the cancellation gives no right to any further compensation. The payment circuit reports to the Provider the account used to pay (identifier and email), the payer's name and country, the outcome, date, fees and net amount of the transaction and the data of any subscription: the Provider keeps them with the order for tax obligations, the reconciliation of receipts and the defence in payment disputes (§15). A Customer holding a VAT number of another EU Member State is invoiced without Italian VAT (reverse charge, Art. 7-ter of Italian Presidential Decree 633/1972) only if the VAT number provided is valid in the European Commission's VIES system at the time of the order; if the number is not confirmed, Italian VAT is applied and remains due, with no right to adjustments or refunds for later confirmations. Customers established outside the European Union are invoiced without Italian VAT under the same rules; any tax, withholding or charge provided for by the Customer's country remains at the Customer's expense and does not reduce the amount due to the Provider. Invoices are issued electronically through the Italian Revenue Agency's exchange system (SdI), where required, and made available in the Account together with the receipt; the stamp duty due by law on invoices without VAT is shown on the invoice and borne by the Customer, unless the Provider decides to bear it. The tax data provided at purchase (name, address, VAT number or tax code, recipient code or PEC) are authoritative for issuing the documents: the Customer checks them before paying and is liable for the consequences of wrong or incomplete data, including taxes not applied and the costs of correcting the documents.
4Customer obligations
The Customer must own or be authorised to manage the connected UniFi® controller, keep credentials confidential, enable no more than one controller per license and use the Service lawfully, including with respect to its own guests. The Customer is responsible for the content of tickets and for the terms it applies to guests. The Customer remains solely responsible for the obligations that the law of his country places on those who offer a WiFi network to the public (user identification, record keeping, notices to guests, network security): the Service generates and manages vouchers, does not record the sites visited by guests and does not replace those obligations. A Customer who uses the Service for third-party properties (for example an installer or an agency managing several clients) warrants to have been authorised by each property, is liable towards the Provider for them as for its own and undertakes to have these terms complied with. The Customer authorises the Provider to use the credentials and API keys it supplies exclusively to deliver the Service; it may revoke them at any time from its Ubiquiti® account, which makes the Service impossible to deliver until new ones are supplied, without any right to refunds. The WiFi network, the equipment, the controller and the Internet access offered to guests belong to the Customer and are under its sole responsibility: the Provider is not an Internet access provider, does not route or store guest traffic and is not liable for content transmitted, sites visited or unlawful uses of the network by third parties; the Customer alone fulfils the obligations that the law of its country attaches to offering connectivity (notices to guests, requests from authorities, protection of minors). The Customer notifies the Provider without delay of any compromise, even suspected, of its credentials or those of its operators, and is liable for the operations performed with them until notified. The Customer uses for the Service a dedicated controller account with only the permissions needed, never the main account, and revokes it when use ends; every operation the Service performs on the controller happens on the Customer's instruction, who verifies its effects. The Customer alone is responsible for the obligations that the law of his country places on whoever offers Internet access to third parties (user identification, retention of traffic data, notices to guests): the Service is a tool and does not fulfil those obligations in his place. A change of the connected controller is allowed for the replacement, fault or reconfiguration of the same property, on a reasoned request made from the panel, and is carried out by the Provider; it is not allowed in order to use the license on several properties or controllers, not even in turns. On a request the Service checks the technical data of the consoles involved (devices in common, status, network address, without keeping them); the Provider may ask for the reason and for evidence, refuse the change and, in the event of rotating use, request the missing licenses or suspend the license.
5Availability and support
The Provider makes reasonable efforts to keep the Service available and to answer support requests opened from the app. To the extent permitted by law, the Service is provided "as is" and "as available", without warranty of uninterrupted or error-free operation. Planned maintenance may cause short interruptions. The Service depends on third parties the Provider does not control (Ubiquiti® cloud, PayPal, Stripe, email providers, geocoding services): the Provider is not liable for outages, changes or malfunctions attributable to such third parties, nor for changes to Ubiquiti® APIs that make the Service wholly or partly unusable, in which case the Provider will work on an adaptation within a reasonable time.
6Data
Customer data are kept in a dedicated database and secrets are encrypted per installation. Processing of personal data is described in the Privacy policy, which forms part of these terms. The Provider acts as processor for the data of the Customer's guests that transit through the Service. Any file or content, of whatever nature, uploaded by the Customer or its contacts (e.g. attachments in support requests) remains the sole responsibility of the uploader, who warrants the right to share it and holds the Provider harmless from any third-party claims in that respect. With regard to such content the Provider acts as a mere technical host: it has no general monitoring obligation, does not review or endorse it, stores it with appropriate security measures and uses it only to handle the request; upon becoming aware of unlawful content, including through a report, it removes it promptly. For security, abuse prevention and the defence of legal claims, the system records for each request message the date, time, author, originating IP address and technical information about the browser and device (user agent); such data are accessible to the owner only, kept for the duration of the request and processed under the privacy notice. For the same purposes the system keeps a log of account activity (sign-ins and relevant actions) with date and time, IP address and technical information about the originating browser and device; the log is accessible to the Provider's owner only and is kept for the period stated in the privacy notice, then automatically deleted. The Customer may at any time request the deletion of an attachment exchanged in support requests: the Provider removes it promptly from active systems, while copies in encrypted backups expire automatically under the retention terms stated in the privacy notice. Upon request, the Provider also deletes the Customer's entire account with its installations and associated data, except what must be kept under legal obligations and except copies in encrypted backups, which expire under the same retention. In particular, fiscal and accounting records (orders, receipts and related billing data) are kept for the period required by applicable law (ten years under Italian law), in restricted-access form, processed solely to fulfil those obligations and to defend legal claims, and then deleted. The Provider may use aggregated and anonymous data on the use of the Service (for example number of vouchers created, features used, volumes) for statistics, security and product improvement, without identifying the Customer or its guests. For the content the Customer uploads or configures (logo, property name, ticket and page texts, attachments) the Customer grants the Provider a free, non-exclusive licence, limited to the duration of the relationship, to reproduce and transmit it for the sole purpose of delivering the Service (voucher printing, emails, pages, backups). The Provider may keep data beyond the periods indicated where required by an authority, by pending proceedings or by the need to defend a right in court, limited to the data needed and for as long as needed.
7Expiry, suspension, termination
At expiry, without renewal, access is suspended; the installation's data are kept for up to 12 months to allow reactivation, then deleted. The Customer may request earlier deletion at any time by writing to https://my.codemerry.com/contact.php?product=vouchler. The Provider may suspend the Service in case of abuse, non-payment or legal obligation, notifying the Customer where possible. The Customer may stop using the Service at any time; amounts already paid are not refunded except as required by law. In case of serious breach of these terms (unlawful use, fraud, attacks on the Service, unauthorised resale, non-payment beyond the grace period), the Provider may terminate the contract with immediate effect under Art. 1456 of the Italian Civil Code, by email notice, without refund of the remaining period and without prejudice to compensation for further damages. The Provider may also withdraw from the contract with an individual Customer for justified reasons with 30 days' notice, refunding the paid and unused part of the period: this is the sole remedy due. Suspension or termination of the Service concerns the creation and management of vouchers through the Service: it does not act on the Customer's controller or WiFi network, which remain under its exclusive control, and the Provider is not liable for any disruption to guests resulting from it. The Provider may also terminate the contract or suspend the Service if the Customer is subject to insolvency proceedings, liquidation, cessation of business or transfer of the business to third parties without the Provider's consent. The Customer may not assign the contract or the rights arising from it without the Provider's written consent. Deletion of the account — requested by the Customer or ordered by the Provider under these terms — is not immediate: the account and the installations of which the Customer is the sole holder are placed in a bin for 30 days, during which access is suspended, automatic renewals are stopped and nothing is charged; within that period the Customer may ask for restoration by writing to https://my.codemerry.com/contact.php?product=vouchler (installations shared with other holders stay with them). On restoration the licence resumes with its expiry extended by the days spent in the bin; if a refund of the unused part of the period was made at deletion, the restored licence is expired as of the deletion date and continues only with a new purchase or renewal at the terms then in force. After the 30 days the data are deleted for good, with no possibility of recovery, save for what must be kept under legal obligations and for the copies in encrypted backups, which expire with the retention stated in the privacy notice. The Provider may delete immediately, without the bin, accounts created or used in breach of these terms, for fraud or for abuse.
8Right of withdrawal
If the Customer is a consumer under EU law, it may withdraw within 14 days of purchase with the withdrawal request of the reserved area or by writing to https://my.codemerry.com/contact.php?product=vouchler, unless it has requested immediate activation and expressly acknowledged losing the right of withdrawal by starting to use the Service. Business customers have no withdrawal right.
9Liability
To the maximum extent permitted by applicable law: (a) the Provider is liable only for direct damages caused by wilful misconduct or gross negligence; (b) any liability for indirect or consequential damages, loss of profit, loss of goodwill, loss of data beyond available backups, lost voucher revenue or interruptions of the Customer's WiFi network is excluded; (c) the Provider's aggregate liability is in any case limited to the amount actually paid by the Customer in the 12 months preceding the event. The Service is a management tool and is not intended for safety-critical uses or services whose interruption may cause harm to people or property. Nothing in these terms excludes or limits mandatory consumer rights or liability that cannot be excluded by law. Also excluded are the consequences of incorrect configurations of the Customer's controller or network, of expired or revoked credentials or API keys, of changes made by the Customer or by third parties it appointed, and of use of the Service not in accordance with the documentation. Save for mandatory rights, any claim against the Provider must be notified in writing within 30 days from when the Customer knew or could have known of the event and brought within 12 months of the event, on pain of forfeiture. For beta versions article 33 also applies.
10Changes
The Provider may change these terms for legal reasons (compliance with laws or orders), for security, for the technical evolution of the Service or for commercial reasons (new functions, renewal prices). Every change is notified to the Customer by email and in the reserved area, with the new version and its date. A substantial change takes effect after a notice period of at least 30 days from the notification; a change in the Customer's favour, or one required by law, may take effect at once. The Service is never suspended because of a change of the terms: by continuing to use it after the effective date the Customer accepts the new version, which may also be accepted expressly from the reserved area. A Customer who does not intend to accept a substantial change may withdraw before the effective date with the withdrawal request of the reserved area, or by writing from the contact form or to https://my.codemerry.com/contact.php?product=vouchler; the date of the request is the proof: the contract ends and the Provider refunds the part of the fee relating to the licence period not enjoyed and, if the Customer keeps no other paid licence of the Provider or asks for it, the purchased credits not yet used, each purchase at its own price, with no penalty; credits received free of charge are not refundable. For a consumer Customer, changes are allowed only for the reasons stated here and withdrawal is always free of charge. The prices of a period already paid never change: a new price applies from the next renewal.
11Law and jurisdiction
These terms are governed by the law of IT. Disputes are referred to the courts of ***, without prejudice to mandatory consumer protections of the Customer's country of residence. For disputes with consumers the alternative dispute resolution (ADR) procedures provided by the Consumer Code remain available, which the Provider may join case by case; nothing obliges the Customer to use them before going to court.
12Indemnification
The Customer shall hold the Provider harmless from third-party claims (including the Customer's own guests and authorities) arising from: use of the Service in breach of law or of these terms; content, conditions or fees the Customer applies to its guests; inaccuracy of the data provided at purchase (including tax data); management of the Customer's own network and of the regulatory obligations that rest on the Customer as operator of the WiFi network.
13Force majeure
The Provider is not liable for failures or delays due to causes beyond its reasonable control (for example: network or power failures, cyber attacks suffered despite adequate measures, orders of authorities, natural disasters, unavailability of third-party providers). Such causes include changes, malfunctions or discontinuation of third-party software, services, APIs or firmware the Service depends on (including the UniFi® controller).
14Free trial and promotions
The free trial is offered at the Provider's discretion, "as is", with usage limits, and may be changed, suspended or terminated at any time without compensation. One trial per customer and per controller. Coupons, discounts and promotions have no cash value, are not transferable or cumulative unless stated otherwise, and may be revoked in case of abuse. The referral programme, where active, grants rewards as discounts or licence months, with no monetary value, not convertible into cash nor transferable, only for valid purchases that are neither refunded nor disputed; the Provider may change or close it at any time and revoke rewards obtained through fake accounts, self-referrals or other abuse. Launch or preview terms communicated to waiting-list subscribers are confidential, valid until the date indicated and do not constitute an offer to the public nor a commitment to launch the Service on a given date. The public demo is a shared demonstration environment, periodically reset and offered "as is": its data are fictitious, nothing entered or configured in the demo is kept or transferred to a real account, and no operation performed in the demo constitutes an order, a contract or a communication to the Provider. The Provider may cap the total number of trials that can be activated in a day and temporarily refuse new requests to protect the stability and security of the Service, and this is not a breach. Beta versions are not a free trial: they are governed by article 33.
15Automatic renewal and failed payments
If the Customer enables automatic renewal, the fee for the next period is charged through the recurring payment means chosen by the Customer (a PayPal subscription, or a card or SEPA direct debit through Stripe) at the end of each period, at the package price then in force communicated before renewal. Automatic renewal can be turned off at any time from the Account or from the payment means used, effective at the end of the current period. If a charge fails, the Provider grants a grace period, after which the Service is suspended. In case of payment disputes or chargebacks, the Provider may suspend the Service until resolution; amounts for periods already enjoyed remain due. A business Customer who starts an unfounded payment dispute shall hold the Provider harmless for the fees and costs incurred because of the dispute. Invoiced amounts unpaid at the due date (framework agreements, licences activated on invoice) bear, without need of a formal notice, the interest of Italian Legislative Decree 231/2002 and the flat compensation for recovery costs, plus documented expenses. Before opening a dispute or a chargeback with the payment circuit, the Customer undertakes to contact the Provider at https://my.codemerry.com/contact.php?product=vouchler to allow an amicable solution (clarification, support, a refund where due under these terms). If the circuit upholds the dispute and returns the amount to the Customer, the licence paid with that amount is suspended automatically when the outcome is received, the automatic renewal linked to it ends and the returned amounts are no longer owed by the Provider; the Provider may also refuse later orders from the same Customer under §3. The Customer may ask for a review of the suspension by writing to https://my.codemerry.com/contact.php?product=vouchler: the review decision is taken by a person. If the dispute is rejected by the circuit, or upheld and then overturned on appeal, the suspended licence is reactivated at no cost and the period already paid resumes. To defend against a dispute the Provider uses and transmits to the payment circuit (and, through it, to the Customer's bank or card issuer) the Service's records concerning the disputed order: order and payment data, acceptance of these terms with version, date, time, IP address and browser, activation of the Service, account logins and the installation's activity log, receipts and invoices, support requests and messages exchanged in the dispute; such records are kept for the duration of the dispute and of the subsequent appeal periods. For SEPA direct debit the Customer grants the mandate to the Provider through Stripe at the time of payment, authorising the debit of the fee on the account indicated; the order receipt serves as the pre-notification of the debit under the SEPA scheme and the account must hold sufficient funds. Activation or renewal stays pending until the collection is confirmed; a debit rejected, revoked or returned by the Customer's bank (including within the eight weeks provided for by the SEPA scheme) is treated as non-payment or as a dispute under this article, with automatic suspension of the linked licence, and the Provider may claim the return fees charged by the circuit. If a dispute closes with the amount returned to the Customer, including at the Provider's initiative, the linked licence is not reactivated and the Customer may buy it again at the terms then in force.
16Account and permitted use
The Customer keeps credentials and reception device links confidential and is responsible for all activity carried out from its account or through such links, unless a compromise is promptly reported to https://my.codemerry.com/contact.php?product=vouchler. The following are prohibited: unlawful use of the Service, resale or making it available to third parties outside the Customer's own property, copying, decompiling or reverse engineering the software except as permitted by mandatory law, bulk data extraction, security testing without written authorisation, and any interference with the operation of the Service or with other customers. The Provider may limit the rate of requests to the Service and sending volumes (vouchers, emails, tickets) to protect the stability of the system and the other customers. Suggestions, reports and ideas the Customer sends about the Service may be freely used by the Provider to improve it, without any obligation of compensation or attribution and without constituting confidential information of the Customer. Sending features (emails, notifications, vouchers) may not be used for unsolicited or misleading messages to third parties. The Customer is responsible for the operator users it creates for its staff, keeps their credentials safe, informs them of the processing of their data (username, email, action log) and removes them when they leave.
17Final provisions
If any clause is found void or unenforceable, the remaining clauses remain valid and the clause is replaced by a valid one with the closest effect. These terms, together with the Privacy policy, are the entire agreement and supersede any prior communication. The Provider may assign the contract as part of a sale or reorganisation of the business, without prejudice to the Customer. Tolerance of a breach is not a waiver. Unless the Customer objects in writing, the Provider may cite the Customer's name and logo as a commercial reference, without disclosing economic terms or confidential data; the objection takes effect for the future. The relationship is not exclusive: the Provider may supply the Service to anyone, including competitors of the Customer. Acceptance of these terms through the tick or the button in the pages of the Service has the value of written acceptance and of an electronic signature under EU Regulation 910/2014 (eIDAS), and is recorded with version, date and time, IP address and browser information. The Provider's electronic records (register of acceptances, activity log, log of sends and receipts) constitute full evidence between the parties of the facts recorded therein, unless proven otherwise. The parties are independent contractors: the contract creates no agency, mandate, partnership or employment relationship, and neither party may bind the other towards third parties.
18Evolution of the Service
The Service evolves continuously: the Provider may add, change or remove features, provided the essential functionality (creation and management of WiFi vouchers) remains available for the period already paid. Features marked as experimental or "coming soon" may change or be withdrawn without notice. If the entire Service is permanently discontinued, the Provider gives at least 60 days' notice and refunds the paid and unused part of the period: this is the only remedy due. Features marked as beta, preview or experimental are provided "as is", may be changed or withdrawn without notice, do not affect the price and give no right to refunds or reductions.
19Notices, language, claims and taxes
Notices are sent by email to the address provided by the Customer, who undertakes to keep it up to date: they are deemed received when delivered to the recipient's mail server. In case of divergence between language versions, the Italian text prevails. To the extent permitted, any claim against the Provider must be brought within 12 months of the event giving rise to it. Prices are those displayed at the time of purchase; any taxes, duties or charges applicable in the Customer's country are borne by the Customer where provided. Use of the Service also requires compliance with the terms of the third parties involved (Ubiquiti®, PayPal, Stripe). Service emails are sent from an unattended address: to reply or continue a conversation you use the link to the case or ticket contained in the message, where the conversation stays on file. Communications to the Provider with legal effect (complaints, withdrawal, disputes) must be sent to https://my.codemerry.com/contact.php?product=vouchler or, for businesses, to the certified email codemerry@pec.it; for support requests the ticket opened in the Service is authoritative. The Provider sends service emails with due care but does not guarantee delivery, which depends on the recipient's mail provider, spam filters and the accuracy of the address; the Customer checks the Account periodically, where receipts, expiries and notices always remain available.
20Customer data and backups
The Customer can export its data from the app at any time and is encouraged to do so regularly. The Provider's backups serve emergency recovery of the infrastructure and are not an archiving service for the Customer: the Provider does not guarantee recovery of individual data deleted by the Customer. Backup and restore procedures are carried out with professional diligence, on a "best effort" basis, and are verified periodically; they nevertheless also depend on third-party services (e.g. cloud storage APIs) and on components subject to updates, so the Provider does not guarantee specific recovery times or points (RPO/RTO) nor the full outcome of every restore. If the procedures malfunction, the Provider undertakes to restore their correct operation within a reasonable time; for any data loss, the exclusion and limitation of liability under Article 9 remain unaffected. After expiry, and as long as the installation data are kept under Article 7, the Customer may request their export by writing to https://my.codemerry.com/contact.php?product=vouchler; the Provider supplies it in a commonly used format within 30 days.
21Customers outside the European Union (United States in particular)
For customers outside the EU, to the maximum extent permitted by the law of their jurisdiction: THE SERVICE IS PROVIDED WITHOUT ANY IMPLIED WARRANTY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability; in that case the exclusions apply to the maximum extent permitted and do not affect the customer's mandatory rights. Where permitted, disputes shall be handled on an individual basis and not as a class action. The governing law and venue indicated above remain applicable to the extent the laws of the customer's country allow.
22Export controls and sanctions
The Customer declares that it is not resident in embargoed countries and is not listed on sanctions lists (EU, UN, US OFAC), and undertakes not to use the Service in breach of export-control and sanctions rules. The Provider may suspend or terminate the Service where required by such rules.
23Processing of data on behalf of the Customer (art. 28 GDPR)
For personal data of the Customer's guests passing through the Service, this section serves as the data processing agreement: the Provider processes such data only on the Customer's documented instructions and to deliver the Service; ensures the confidentiality of authorised persons and the security measures described in the Privacy policy; uses the sub-processors indicated in the Privacy policy (general authorisation; list on request and notice of material changes); reasonably assists the Customer with data subject requests and security obligations; at the end of the Service deletes the data according to the retention terms, save for legal obligations; and makes available the information needed to demonstrate compliance. The Customer remains the controller of such data. The Provider gives at least 15 days' notice of the addition or replacement of sub-processors; the Customer may object on legitimate grounds within that period and, if no reasonable solution is found, withdraw with a refund of the paid and unused part of the period, as sole remedy. Audits requested by the Customer under Art. 28 GDPR take place with at least 30 days' notice, no more than once a year, during office hours, without prejudice to other customers and at the Customer's expense, unless they reveal substantial breaches. The Customer undertakes not to enter into the Service special categories of data (Art. 9 GDPR), data relating to criminal convictions or data of minors beyond what is strictly necessary to issue vouchers. Requests from data subjects (guests) received by the Provider are forwarded to the Customer within 5 working days, without answering on the merits, unless otherwise agreed or required by law. The subject matter, duration, nature and purpose of the processing, the type of data and the categories of data subjects are those described in the Service and in the Privacy Notice: creation and management of WiFi vouchers for the Customer's guests through its controller, for the duration of the licence and its renewals, with 12 months' retention after termination; data of the Customer's staff accounts and of its guests (codes, devices). The Provider adopts the security measures of Art. 32 GDPR described in the Privacy Notice and in the record of processing, available to the Customer in the compliance pack.
24Legal guarantee, specific markets and survival
For EU consumers, the legal guarantee of conformity of digital content and services (Directive EU 2019/770) remains unaffected; for UK consumers, the rights under the Consumer Rights Act 2015 remain unaffected. For Australian customers: nothing excludes the non-excludable guarantees of the Australian Consumer Law; where permitted, the Provider's liability is limited to re-supply of the service. The clauses on liability, indemnification, confidentiality and final provisions survive termination of the contract. For business Customers, any defects of the Service must be reported in writing within 30 days of discovery with a reproducible description; the remedy due is correction within a reasonable time or, if impossible, a pro-rata refund of the remaining period, without prejudice to Article 9.
25Third-party independence and trademarks
Vouchler is an independent software product. UniFi® and Ubiquiti® are trademarks of Ubiquiti Inc.; PayPal® is a trademark of PayPal, Inc.; Stripe® is a trademark of Stripe, Inc. The Provider is not affiliated with, sponsored, endorsed by or otherwise connected to those companies, and their marks are referenced solely to describe the Service's compatibility. The Service requires the Customer to hold their own hardware and their own Ubiquiti® account (and suitable payment instruments), whose use is governed by the respective providers' terms, which the Customer undertakes to respect. Features of the Service that depend on third-party interfaces (such as the Ubiquiti® APIs and the PayPal and Stripe payment services) may change or cease by decision of those third parties: in that case the Provider will use reasonable efforts to adapt the Service, without this constituting a breach, the Customer's withdrawal right under these terms remaining unaffected.
26Custom deals, licences activated without payment and reserved codes
The Provider may propose custom deals (offers with an agreed price, number of properties and duration). The offer is accepted by paying through the personal link sent, within the validity date shown; after that date the link no longer works and the offer lapses. A custom deal renews on the same terms (properties and duration) at the renewal price agreed, if any, otherwise at the same amount; the Provider may propose different terms with at least 30 days' notice before expiry. The terms of an offer are confidential and not to be disclosed to third parties. Licences activated without payment (gift, free period, migration) are granted at the Provider's discretion, "as is", for the duration stated at activation; at expiry the Customer may renew at the price of the package indicated or at the agreed price, with no right to keep the licence free of charge. Discount codes reserved to an email address are personal and non-transferable; if used by third parties the Provider may cancel them and refuse the order. The Provider may withdraw or replace an offer before payment; the withdrawal is communicated in the case and the link stops working. If a payment is nevertheless completed after the withdrawal, it activates no service and is refunded in full to the original payment method, normally within 14 days. The agreed-price code issued for a custom deal is bound to the licence (installation) for which it was agreed: it is valid only for the renewal of that licence, not for new purchases nor for other installations of the same Customer, and lapses when the licence ends or the deal is withdrawn. Licences activated with a beta invitation are governed by article 33.
27Support access and internal notes
To provide support, the Provider's staff may access the Customer's installation through a recorded support access (date, time, operator and actions are written to the activity log, visible to the Provider). Access happens only for support, security or compliance purposes and does not involve reading guest data beyond what is necessary. The Provider may keep internal notes on the relationship (for example the outcome of a call or a reminder); they are not shared with the Customer but remain subject to the data subject's rights under data protection law.
28Duplicate payments, Service errors and incident codes
If, because of a technical error or of the same payment link being used by several people, the Provider receives the fee twice for the same order or offer, the excess payment is refunded in full to the original payment method, normally within 14 days of detection, and this is not a breach. In case of an unexpected Service error, the Customer sees a courtesy page with an incident code: quoting it to support lets the Provider trace the event; the Provider records the technical details of the error (page, date and time, account, IP address, browser) for the time strictly necessary to fix it. Refunds are made in the currency and for the amount originally collected: any exchange differences, fees of the payment circuit or of the Customer's bank and conversion costs are not borne by the Provider. A full refund of an order (withdrawal, cancellation, settlement) ends the licence paid with that order as of the start of the period the order covered, that is from the previous expiry; if a later order covers a further period, the refund does not touch it. A partial refund (for example for a reduction of the number of properties) does not change the expiry. Every refund, reversal and credit note is recorded by the Provider with reference to the original order, in that order's currency and for its amount.
29AI-assisted features
Some features of the Service may rely on artificial intelligence systems (for example translating messages and offers into the Customer's language, language detection, suggested reply drafts for the Provider's staff, internal management notes). They are support tools provided "as is": they may contain inaccuracies or errors and are subject to human review where the Provider deems it appropriate. Automatic translations are provided as a courtesy and have no contractual value: in case of discrepancy the original text written by the Provider's staff prevails, always available in the case or ticket. No decision producing legal effects on the Customer is taken solely by automated means. The Provider may enable, change or disable these features at any time. AI-assisted features are subject to reasonable usage limits (number of requests per period) to protect costs and the stability of the Service; once the limits are exceeded the feature stays paused until the next period, without this constituting a breach. Drafts may also concern the Provider's answers to a payment dispute: in that case the AI provider receives a summary of the case (order, Customer and Service-usage data, with identifiers reduced to what is necessary), the draft is always reviewed, edited and sent by a person, and no decision on the dispute is taken by the AI system.
30Platform, central seat and connected software
The Service is delivered through the Provider's platform, made of a central seat (Customer accounts, licences, orders and payments, support, receipts and invoices) and of the individual software, each on its own domain. Between the central seat and the software travel, over an encrypted channel authenticated with dedicated keys: the licence documents (state, package, expiry, number of properties) signed by the central seat, which the software verifies and applies; periodic health and configuration signals; service events (activations, suspensions, renewals, deletions, aggregate usage). The software applies the licence as issued by the central seat; if the central seat is unreachable, the software may keep operating on the last valid licence received for a limited time and then restrict its functions until the link is restored, and this is not a breach. The keys with which the platform's systems authenticate each other belong to the Provider and may be rotated or revoked at any time. The Customer reaches the software with one account: moving from one software to another uses short-lived one-time codes and never transmits the password. The Provider may add new software to the platform, each with its own licence terms and price list: acceptance of these terms neither obliges the Customer to buy other software nor extends this licence to them. The logs of the exchanges between the central seat and the software are kept for the periods stated in the privacy notice.
31«My Codemerry» reserved area
The reserved area (my.codemerry.com) is the Customer's home for every product of the Provider: purchases and documents, billing data, support, security, privacy, preferences. (a) Documents: receipts, invoices and credit notes remain readable and downloadable for the whole relationship and, after the closure, for the fiscal retention period; a document already issued is not modified: corrections come as a credit note and a new document. (b) Devices: for security the reserved area records the open sessions (browser, IP address, date and time) and lets the Customer close them; a closed session ends within a minute. (c) Notices: in Preferences the Customer may switch off the notice sent seven days before every automatic charge and the receipt by email; the switch-off is his choice, recorded with date and time, and suspends neither the active automatic renewals nor the issuing of documents, which stay available in the reserved area. (d) Support: requests may carry attachments (images and PDF, up to three per message, five megabytes each) the Customer declares he may share; attachments are kept with the request. (e) Billing profiles: the Customer is responsible for the correctness of the tax data entered; every change applies from the next charge. (f) Closure: the closure of the account is governed by its own article and can always be asked for from the reserved area.
32Support: channels, hours and response times
Technical support is included in the licence and reserved to the administrators of the installation. It is requested exclusively from the Support area of the Service (a numbered request) or by writing to https://my.codemerry.com/contact.php?product=vouchler: requests received through other means (phone, messaging, social networks) open no case and do not start the times stated here. Service hours: Monday to Friday, 9:00 to 17:00 (Rome time), excluding Italian national holidays and the closure periods announced in the reserved area at least five days in advance; a request received outside these hours is deemed received at the opening of the next working day. Times: the Provider undertakes to give a first qualified answer within two working days of receipt and, as a rule, by the next working day. The first answer may be a solution, a request for further information or a plan of action; the time needed to resolve depends on the nature of the problem and is not guaranteed. A total unavailability of the Service affecting several customers is handled with priority and, as far as reasonably possible, also outside service hours. Languages: Italian and English; requests in the other languages of the Service are handled with the help of automatic translation, the original text being always kept. Scope: support covers the operation of the Service and its configuration. Unless otherwise agreed in writing, it excludes the configuration and maintenance of the Customer's network, UniFi® controller and other equipment, third-party services (§5), staff training, on-site work and customisations. The Provider may suspend support in case of use of the Service contrary to these terms, of abusive or repeatedly unfounded requests, or of an expired or suspended licence, in which case only renewal assistance remains available. Failure to meet the stated times gives no right to refunds, credits or penalties and is no material breach: the Provider's liability remains governed by §9. Hours and times may be changed as per §10, without substantial reductions for the duration of the current licence.
33Beta programme
1. Nature of the programme. The Provider may make a pre-release version of the Service ("beta") available by invitation, before or outside ordinary sales. The beta is not a final version: it may contain errors, incomplete or unstable features and behaviour different from what is described, and it may be changed, suspended or ended at any time, even without notice. Access to the beta is free of charge, personal, non-transferable and reserved to the email address the invitation was sent to; it is not a sale, confers no right to any future performance and carries no obligation of availability, support or response times. 2. "As is". The beta is provided "as is" and "as available", without warranties of any kind, express or implied, of operation, fitness for a purpose, continuity, security or absence of errors; the availability and support commitments of articles 5 and 32 do not apply. 3. Participant's obligations. Whoever takes part in the beta (the "Tester") acknowledges using it at their own risk and undertakes to: (a) use it in a context where a malfunction cannot cause harm to persons, property or the continuity of their business, without entrusting critical processes to it; (b) check the configuration of their controller and network before and after every operation performed with the beta; (c) keep up-to-date backups of their data and of the controller configuration; (d) report promptly the errors they find; (e) not deliver services to third parties relying on the beta's operation without having verified it. 4. Exclusion of liability. To the maximum extent permitted by applicable law, the Provider is not liable for any damage, direct or indirect, arising from the use of or inability to use the beta, including by way of example: loss, alteration or unavailability of data and configurations; interruptions or malfunctions of the WiFi network or of the services to guests; non-working vouchers; lost revenue or lost savings; restoration costs; penalties or third-party claims. Nothing in this article excludes or limits liability for the Provider's wilful misconduct or gross negligence, nor the mandatory rights the law grants to consumers; in such cases, and where the law allows it, the Provider's total liability is limited to the greater of the amount paid by the Tester for the beta and 100 euro. 5. Indemnity. The Tester holds the Provider harmless, under article 12, from any third-party claim (guests, authorities, suppliers) arising from the use of the beta, from the configuration and management of their own network and from the regulatory obligations resting on the Tester as operator of the WiFi network. 6. Feedback and confidentiality. Reports, suggestions and materials provided by the Tester may be used freely by the Provider to improve the Service, without compensation and without confidentiality obligations towards the Tester; features not yet public shown during the beta are confidential and must not be disclosed. 7. Duration and end. The beta ends on the date stated in the invitation or communicated by the Provider, who may bring it forward for all participants; at the end, access ceases and the data remain available under articles 7 and 20. The Tester may continue with a paid licence at the conditions communicated (list price or agreed price), without any obligation. The Provider may exclude a Tester at any time and without compensation in case of abuse or breach of these conditions. 8. Precedence. For the whole duration of the beta, in case of conflict with other clauses, this article prevails. 9. Intended participants and prohibited uses. The beta is intended for professional operators (accommodation and businesses offering WiFi to their guests); a consumer taking part keeps the rights the law grants him. During the beta, without the Provider's written consent, security or load testing, the publication of results, comparisons or images of the beta and the transfer of access to third parties are not permitted. 10. No obligation to fix. The Provider is not bound to fix reported errors, to keep features shown in the beta or to release a final version; any fixes are at its discretion. 11. Reinforced confidentiality. Everything the Tester learns by taking part in the beta is confidential: the interface, the features, the behaviour, the performance, the prices and conditions communicated, the Provider's materials and communications. The Tester undertakes not to make or spread photographs, screenshots, video or audio recordings, descriptions of how it works, reviews or comparisons, in any form and on any medium (including social networks, group chats, forums, the press), not to share the invitation, the codes and the access with third parties, not to copy, decompile, analyse the traffic of or reproduce the Service, and to report any security vulnerability exclusively to the Provider, within 24 hours of discovery and without exploiting or disclosing it (responsible disclosure). The obligation lasts for the whole beta and for 24 months after its end and does not apply to what the Provider has made public or authorised in writing. 12. Penalty. For every breach of the confidentiality obligation the Tester pays the Provider, as a penalty under art. 1382 of the Italian Civil Code, the sum of 5,000 euro, without prejudice to compensation for any greater damage; the Provider may also demand the immediate removal of the disclosed content, exclude the Tester from the beta and seek urgent relief. 13. Reciprocity. The Provider does not cite the Tester's name or venue as a reference without his written consent. 14. Consumers. If the Tester is a consumer: (a) he is informed specifically and expressly that the beta version, being not final, deviates from the objective requirements of conformity (it may contain errors, incomplete or unstable features, interruptions) and, with the dedicated box at activation, he expressly and separately accepts that deviation; (b) he asks that the supply of the free service begin at once and acknowledges that, the service being free of charge, withdrawal gives rise to no refund; (c) the penalty of point 12 does not apply: in case of a breach of confidentiality the Provider may claim compensation for the damage actually suffered and the removal of the content; (d) the exclusions and limitations of liability operate within the limits the law allows towards consumers, without prejudice to the rights it grants them, including the courts of their place of residence or domicile; (e) taking part in the beta involves no paid contract and no automatic renewal: continuing against payment requires a separate, informed order.
34CodeMerry credits (artificial-intelligence features)
1. Nature of the credits. CodeMerry credits ("credits") are a prepaid, non-transferable entitlement, not convertible into money, that the User buys or receives and uses to run artificial-intelligence features ("AI features") the Provider makes available in its software. Credits belong to the User's account and may be spent, from that account, in all the Provider's software and in all the structures it manages. 2. Price of the features. Every AI feature has a price in credits, stated before it runs; the price does not depend on the length of the answer. The Provider may change the credit prices of the features and the price list of the packs at any time; changes apply to later runs and purchases and never touch credits already bought. Some features may be free and subject to daily limits. 3. Validity and order of consumption. Credits bought with a pack are valid for 12 months from purchase; subscription credits for 3 months from their grant; credits included in a licence are granted once, at the purchase of that licence, and are valid for 12 months; welcome credits for 30 days; a monthly allowance included in a licence is granted on the first day of the month, does not carry over and expires at the end of the month. Credits are consumed in order of expiry; expired credits are neither refunded nor re-granted. 4. Failed runs and limits. If a run produces no result for a technical reason, the credits charged are given back. The Provider may apply frequency and volume limits, suspend the AI features in case of abuse or unavailability of the external model provider, and replace the models used without changing the credit price. The User may set monthly spending caps per structure. 5. Nature of the answers. The answers of the AI features are generated automatically and may be inaccurate, incomplete or unsuitable for the specific case: they are not professional, legal, tax, medical or technical advice. The User checks them before use and remains solely responsible for the decisions and communications that follow; the Provider is not liable for damages arising from reliance on the answers, within the mandatory limits of the law. 6. Data processed. To run an AI feature the Provider sends the external model provider the strictly necessary text, after masking identifiable personal data; the guests' data of the structures are never sent. The external providers and the applicable safeguards are listed in the Privacy notice. The User enables the AI features with an explicit, revocable consent. 7. Coupons and gifts. Discount codes apply to credits packs only where so provided and never below the minimum price per credit set by the Provider; credits are never free through a discount code. The Provider may grant credits as a gift or a correction: such credits give no right to any refund. 8. Refunds and withdrawal. Unused credits are not refundable in money, without prejudice to the consumer User's right of withdrawal within 14 days from the purchase of an entirely unconsumed pack, exercised under art. 15. When a purchase is refunded, the corresponding credits are revoked; if they had already been consumed, the account records a credit debt settled by credits later bought or granted. 9. Closure, termination and deletion. On the closure of the account requested by the User, on its final deletion, or on the termination of the contract for the User's breach, unused credits are lost without a refund; the User is warned when requesting the closure and may spend them first. If the Provider permanently ceases to offer the AI features, bought and unused credits are refunded in proportion to the price paid, within 60 days. 10. Register. The Provider keeps a register of grants and charges, available to the User in the portal, which is conclusive unless proven otherwise.
35Service levels, outages and compensation
The Provider does not guarantee any minimum availability and recognises no penalty, indemnity or damages for interruptions, slowdowns or degradations of the Service, whatever their cause. At its sole discretion, and without this amounting to an obligation, a practice or a waiver, the Provider may grant compensation in kind as an extension of the licence term. When compensation is granted automatically by the platform, it is computed exclusively on the whole days of interruption ascertained by the Provider's systems and from the minimum length the Provider sets: shorter interruptions give rise to no extension. Any extension is the Customer's sole and exclusive remedy, cannot be converted into money, is not transferable and does not apply to trial, suspended, grace-period or expired licences, nor to interruptions caused by the Customer, third parties, the network, the UniFi equipment, the payment circuits or force majeure. The public status page and announcements are for information only.
36Renewals, charges and provisional access
Where payment is made with deferred-settlement instruments (for example SEPA direct debit), the Provider may, at its discretion, keep the licence active for a provisional period pending settlement. Such provisional access is a revocable courtesy: if settlement fails, the licence returns to its previous expiry and the use made during the provisional period is neither owed nor refundable. The paid term always runs from the expiry the licence had before the provisional access. For automatic renewals the Provider notifies the Customer before the charge by the means indicated in the account; a request to disable automatic renewal takes effect when the payment circuit confirms it, and the Provider may repeat the request to the circuit on the Customer's behalf. A payment that is already refunded or disputed when it is recorded gives no right to any activation.
37Referral programme and bonuses
The Provider may grant whoever invites a new Customer a bonus in kind (for example months of licence). The bonus is a revocable gratuity: if the invitee's order is fully refunded, withdrawn or disputed, the bonus is taken back and the expiry of the inviter's licence group moves back by the corresponding months, never removing days already elapsed nor periods paid afterwards. Self-referrals, multiple accounts of the same person or organisation, invitations obtained by automated or deceptive means give no right to any bonus and may lead to the suspension of the account. The Provider may change or end the programme at any time.
38Payment disputes and automatic answers
Opening a dispute or a reversal with the payment circuit (chargeback) for a service duly delivered is a breach by the Customer: the Provider may immediately suspend the licences involved until the outcome, answer the dispute also automatically by transmitting to the circuit the evidence of delivery (logins, activations, usage, communications, acceptances), charge the Customer the fees and costs incurred and refuse future orders. The Customer undertakes to contact the Provider before turning to the circuit.
39Credits: nature, validity, renewal, function prices
Credits are a unit of account internal to the Provider, spendable on the AI-assisted and other pay-per-use functions of all the Provider's software, for all the structures of the account. They are not money, not a deposit, bear no interest, and are not refundable, assignable, transferable to another account or convertible into money, save where mandatory rules impose otherwise (in particular the consumer's right of withdrawal on purchased credits not yet used, exercised within the legal time limits). Purchased credits are valid for twelve months from the date of the last purchase: every new purchase or every lot of a credits subscription renews the validity of all purchased credits still available on the account, which expire twelve months after that date. Credits granted free of charge (allowance, welcome, promotions, compensation) have the validity stated when granted, do not renew and are consumed before purchased ones. On expiry credits lapse without refund and without notice beyond the reminders the Provider sends as a courtesy. The cost in credits of each function is set by the Provider and may change at any time according to the costs of the model providers and the evolution of the functions, with notice published in the portal at least thirty days in advance for increases; increases give no right to a refund of credits already purchased. The Provider may cap the credits purchasable per account and per period, suspend the pay-per-use functions in case of anomalous use, abuse or suspected fraud, and reverse credits granted by mistake. Pay-per-use functions stop when the balance does not cover the cost of the requested function. Balance, movements and expiries can be consulted in the reserved area; in case of dispute the Provider's records prevail.
40WiFi analysis and credits
The “full analysis with advice” of the “WiFi health” page is a credit-based feature (see the credits article): the price in credits is shown on the button before running and charged on execution; the report stays valid for one day and a new run within the day is not charged when the data have not changed. The advice is generated automatically by an artificial-intelligence model from the data read from the controller at the time of the analysis: it is general technical guidance, not professional consulting nor a guarantee of results; changes to the network (channels, power, channel width, moving equipment) remain the decisions and responsibility of the venue owner. Codemerry does not access the venue’s controller and does not keep the data read beyond the time needed to produce the report.
